Forman & Shapiro LLP was formed in January 2014 by Robert W. Forman and Stuart L. Shapiro as a reconfiguration of their partnership in Shapiro Forman Allen & Sava, which enjoyed a successful 16 year run. Rob is a former Skadden, Arps, Slate, Meagher & Flom associate and a founding partner of Greenberger & Forman. Stu was formerly a Skadden senior partner. Joan Dacey-Seib continues as of Counsel.
Our corporate practice includes advising parties to mergers and acquisitions as well as in their day to day business and corporate activities. We are general corporate counsel to a number of public and private companies. We represent boards of directors and special board committees in connection with corporate governance, SEC compliance matters and shareholder derivative claims. The firm counsels clients in connection with control contests, actions implicating fiduciary duties under state law, disclosure issues under the federal securities laws and severance and employment law issues involving senior partners and senior executives at hedge funds, investment banks, public and private corporations and a variety of financial institutions.
We also litigate corporate, contract, real estate and other complex commercial cases in the New York federal and state courts. We also counsel clients in litigation and crisis situations, and Mr. Shapiro serves as a neutral arbitrator and mediator both privately and in court appointed service.
